These Terms and Conditions ("Terms") govern your access to and use of the GivePower Foundation website at givepower.org (the "Site") and any related services offered through it. By using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About GivePower

GivePower Foundation ("GivePower", "we", "our", or "us") is a nonprofit corporation organized under the laws of the United States and recognized as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code. GivePower's charitable mission is to deploy clean energy and clean water solutions in underserved communities around the world.

GivePower operates programs, conducts fundraising activities and maintains relationships with donors, volunteers, suppliers, implementing partners, governments and beneficiaries in multiple countries. These Terms are intended to apply to all visitors to the Site, subject to any mandatory rights provided by the laws of the jurisdiction in which the visitor resides.

Although the Site is operated from the United States, GivePower endeavors to comply with applicable international laws governing privacy, consumer protection, electronic commerce, sanctions and charitable fundraising where they apply to our activities.

We welcome visitors and suppliers from around the world and we aim to comply with the data-protection and consumer-protection laws that apply to a global audience.

2. Acceptance of Terms

By accessing or using the Site, you represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and that you have the legal authority to agree to these Terms. If you are using the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

The Site is intended for a general audience but is not directed primarily to children. We do not knowingly collect personal data from children under the age of 16 (or the lower minimum age permitted for consent to online services in your jurisdiction). If you believe a child has provided us with personal data, please contact us using the details in Section 18 and we will take reasonable steps to delete it.

3. Changes to These Terms

GivePower may update or modify these Terms from time to time to reflect changes in our operations, legal or regulatory requirements, technology, website functionality, charitable programs or business practices. Changes will be effective upon posting to the Site with a revised "Last Updated" date. Where a change materially affects an ongoing arrangement, for example a recurring donation, we will provide reasonable advance notice by email where we hold your email address. Your continued use of the Site after revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should discontinue using the Site. We encourage you to review these Terms periodically.

4. Use of the Site

4.1 Permitted Use

GivePower welcomes visitors from around the world to learn about our mission, charitable programs, partnerships, volunteer opportunities and fundraising activities.

Subject to these Terms, GivePower grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, educational, informational or other lawful non-commercial purposes.

You may use the Site to:

  • learn about GivePower and its charitable activities;
  • make donations or participate in fundraising activities;
  • register for events or volunteer opportunities;
  • contact GivePower;
  • share GivePower content through the sharing features we make available; and
  • access educational resources and other materials that we publish.

You agree to use the Site responsibly, respectfully and in compliance with these Terms and all applicable laws and regulations.

Nothing in these Terms transfers ownership of the Site or any intellectual property rights to you.

4.2 Prohibited Conduct

To help protect our mission, our supporters and the security of the Site, you agree that you will not:

  • Violate Laws. Use the Site in violation of any applicable local, national or international law or regulation, including laws relating to fraud, intellectual property, privacy, cybersecurity or charitable fundraising.
  • Interfere with the Site. Attempt to interfere with, disrupt, damage, disable, overburden or impair the operation, security or availability of the Site or any servers, systems or networks connected to it.
  • Unauthorized Access. Attempt to gain unauthorized access to any portion of the Site, user accounts, databases, systems or networks.
  • Malicious Code. Upload, transmit, distribute or introduce viruses, ransomware, malware, spyware, Trojan horses, worms or any other malicious or harmful code.
  • Automated Access. Use robots, spiders, crawlers, scrapers, bots, artificial intelligence agents, automated scripts, data mining tools or similar technologies to access, monitor, copy, extract, index or harvest content or data from the Site except where such activity is expressly authorized in writing by GivePower. Nothing in this Section is intended to prohibit lawful indexing by recognized internet search engines acting in accordance with applicable industry standards.
  • Misrepresentation. Impersonate GivePower, any GivePower employee, volunteer, partner, donor, beneficiary or any other person or organization. You may not falsely suggest that GivePower endorses, sponsors, approves or is affiliated with any person, organization, product, service, campaign or event without our prior written consent.
  • Commercial Exploitation. Use the Site or its content for commercial purposes except with GivePower's prior written permission.
  • Data Collection. Collect or harvest personal information about other users without their consent or otherwise in violation of applicable law.
  • Security Testing. Conduct penetration testing, vulnerability scanning, denial-of-service attacks or other security testing against the Site without GivePower's prior written authorization.
  • Circumvention. Attempt to bypass or circumvent any technical measures used to protect the Site or its content.
  • Misuse of Charitable Content. Use the Site or its content in a manner that is defamatory, misleading, fraudulent, hateful, discriminatory, unlawful or is reasonably likely to damage GivePower's reputation or misrepresent its charitable mission.

4.3 Suspension or Termination of Access

GivePower reserves the right, in its sole discretion and to the extent permitted by applicable law, to suspend, restrict or terminate your access to all or any portion of the Site.

5. Donations

5.1 General

GivePower welcomes voluntary charitable contributions from individuals, foundations, corporations and other organizations that wish to support our charitable mission.

All donations are voluntary gifts made to GivePower's charitable purposes and do not create a contractual right to receive goods, services, project benefits or other consideration unless expressly stated otherwise in writing.

By making a donation through the Site, you represent and warrant that:

  • you are authorized to use the payment method you provide;
  • the information you submit is accurate and complete;
  • you are legally permitted to make the donation under the laws applicable to you; and
  • your donation does not violate any applicable law, including laws relating to fraud, money laundering, sanctions or tax evasion.

5.2 Donation Processing

Donations made through the Site are processed by our third-party payment processor(s). By submitting a donation, you authorize GivePower and its payment service provider to charge your selected payment method for the amount you authorize, including any recurring donations that you elect to establish. Unless otherwise stated on the donation page, all donations are processed in U.S. Dollars (USD); if you pay using a non-US payment method, your bank or card issuer sets the exchange rate and may apply currency-conversion or cross-border fees over which we have no control. GivePower does not control or receive such fees.

GivePower reserves the right to decline, refuse, suspend or return any donation where reasonably necessary to:

  • comply with applicable law;
  • satisfy sanctions, anti-money laundering or fraud prevention requirements;
  • respond to payment processor requirements;
  • protect GivePower or its donors from fraud or abuse; or
  • address suspected unauthorized or unlawful activities.

5.3 Recurring Donations

If you choose to make recurring donations, you authorize GivePower or its payment service provider to charge your selected payment method automatically at the frequency you select until you cancel.

You may cancel a recurring donation at any time by using the self-service tools we provide or by contacting GivePower using the information provided in Section 18. Cancellation will prevent future scheduled donations but will not affect donations that have already been processed.
If your payment method expires, is cancelled, or cannot be successfully charged, GivePower or its payment processor may contact you to update your payment information or discontinue future recurring donations.

5.4 Refunds and Donation Errors

As a charitable organization, GivePower generally applies donated funds promptly to support its mission. For this reason, donations are generally non-refundable. If you believe a donation was made in error, was unauthorized or resulted from a technical or processing mistake, please contact us within thirty (30) days of the transaction using the details in Section 18, and we will review the request on a case-by-case basis. You may cancel a recurring donation at any time, effective for future charges, by contacting us or using any self-service option we provide. Nothing in this Section limits any non-waivable rights you may have under applicable consumer-protection laws or under the rules of your card network or payment provider.

5.5 Tax Treatment

GivePower Foundation is recognized as a tax-exempt organization under Section 501(c)(3) of the United States Internal Revenue Code.

For United States taxpayers, donations may be tax-deductible to the extent permitted by applicable law. GivePower will provide an acknowledgement of qualifying donations as required by US tax law.

If you make a donation from outside the United States, your contribution may not qualify for a charitable tax deduction under the laws of your country of residence unless a specific legal arrangement applies. You are responsible for determining the tax treatment of your donation under the tax laws that apply to you.

GivePower does not provide legal, tax, accounting or financial advice. Donors should consult their own professional advisors regarding the tax consequences of any contribution.

5.6 Use of Donations

GivePower will use donations to advance its charitable mission. Unless otherwise expressly agreed in a written gift agreement signed by an authorized representative of GivePower, all donations are unrestricted and may be used where GivePower determines they are most needed to advance its charitable purpose.

While we strive to honor donor preferences whenever reasonably possible, references on the Site to specific countries, projects, programs, technologies or communities are intended for informational purposes only and do not create a legally binding restriction on the use of donated funds.

5.7 Project Information

The Site may describe current or planned charitable programs, construction projects, water systems, solar installations, educational initiatives or other activities. 

Descriptions of projects, budgets, schedules, implementation plans, anticipated completion dates, environmental benefits, community impacts, photographs, maps, statistics and other project information are provided for general informational purposes only. Actual project implementation may differ from published information due to factors including governmental approvals, weather conditions, supply chain disruptions, funding availability, contractor or supplier performance or other circumstances beyond GivePower's control.

Publication of information about a project does not constitute a guarantee that the project will proceed exactly as described or within any particular timeframe.

6. Intellectual Property

6.1 Ownership of the Site and Content

The Site and all content made available through it, including its design, layout, text, graphics, logos, images, audio, video, illustrations, maps, reports, software, databases, downloadable materials and other content (collectively, the "Content"), are owned by or licensed to GivePower or its licensors and are protected by U.S. and international intellectual property laws. GivePower® is a registered trademark of GivePower Foundation.

Except as expressly provided in these Terms, no right, title or interest in the Site or its Content is transferred to you.

GivePower®, our logos, program names and other trademarks, service marks and branding displayed on the Site are the property of GivePower Foundation or their respective owners. Nothing contained on the Site grants any license or right to use any trademark without the prior written permission of the applicable owner.

6.2 Limited License

Subject to your compliance with these Terms, GivePower grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, educational, charitable, informational or other non-commercial purposes. Except as expressly permitted in these Terms or by applicable law, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any portion of the Site or its Content without GivePower's prior written consent.

6.3 Sharing GivePower Content

We encourage you to help spread our mission. Unless otherwise indicated on the Site, you may share publicly available Content using the sharing features we provide or by linking directly to the Site, provided that:

  • you accurately identify GivePower as the source;
  • you do not alter the meaning or context of the Content;
  • you do not remove copyright, trademark or attribution notices;
  • your use does not suggest that GivePower endorses
  • you or your organization; and
  • your use complies with applicable law and these Terms.

We welcome educational, journalistic, charitable and non-commercial uses that accurately represent GivePower and its mission.

If you are uncertain whether your intended use is permitted, please contact us using the information provided in Section 18.

6.4 Photography and Video

Many photographs and videos appearing on the Site depict GivePower's staff, volunteers, community members, project partners and beneficiaries.

These images often involve vulnerable communities and are used with permission or pursuant to applicable legal authority.

Accordingly, unless expressly permitted by GivePower in writing, you may not:

  • download or archive photographs or videos for reuse;
  • reproduce or redistribute photographs or videos outside the sharing features provided on the Site;
  • use photographs or videos in advertising, fundraising, political activities or commercial promotions;
  • manipulate or edit photographs or videos in a manner that changes their meaning or context;
  • use artificial intelligence or similar technologies to generate derivative images based on identifiable individuals appearing in GivePower photographs; or
  • use photographs or videos in a manner that is misleading, defamatory, exploitative, discriminatory or inconsistent with the dignity of the individuals depicted.

Nothing in this Section prohibits reasonable editorial use by accredited news organizations when consistent with applicable copyright laws and accepted journalistic practice.

Requests for permission to use photographs or videos should be directed to GivePower using the contact information provided in Section 18.

6.5 User-Submitted Content

You may voluntarily submit information or materials to GivePower, including comments, testimonials, photographs, videos, stories, feedback, suggestions or similar content ("User Submissions").

You retain ownership of your User Submissions.

By submitting User Submissions to GivePower, you grant GivePower a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, publish, display, distribute, adapt, translate and otherwise use User Submissions in connection with:

  • GivePower's charitable mission;
  • fundraising activities;
  • educational programs;
  • communications;
  • marketing;
  • historical archives; and
  • other nonprofit purposes.

This license continues unless and until you request that GivePower discontinue future use of your User Submission, provided that:

  • GivePower may retain archival copies;
  • GivePower is not required to retrieve materials already published or distributed;
  • GivePower may retain materials where required by law or legitimate recordkeeping obligations; and
  • GivePower may continue uses that cannot reasonably be reversed.

You represent and warrant that:

  • you own or control all necessary rights in your User Submission;
  • your submission does not infringe the rights of any other person;
  • any identifiable individual appearing in submitted photographs or videos has provided any consent required by applicable law;
  • where a submitted image depicts a minor, you have obtained the consent of the child's parent or legal guardian where required by law; and
  • your submission does not contain unlawful, defamatory or misleading material.

6.6 Feedback

If you provide GivePower with ideas, suggestions, recommendations or other feedback regarding the Site or our programs, you acknowledge that GivePower may use that feedback without restriction or obligation to compensate you.

6.7 Copyright Complaints

GivePower respects the intellectual property rights of others.

If you believe that material appearing on the Site infringes your copyright or other intellectual property rights, please contact GivePower using the information provided in Section 18 and provide sufficient information for us to investigate your claim.

Where appropriate, GivePower may remove or disable access to allegedly infringing material while the matter is reviewed.

7. Third-Party Links and Services

7.1 Third-Party Services

The Site may contain links to, integrate with, or provide access to websites, applications, platforms, products or services operated by third parties ("Third-Party Services"). These may include, for example, payment processors, event registration platforms, social media platforms, mapping services, video hosting services, fundraising platforms, customer relationship management tools, email service providers, analytics providers or other technology services that support GivePower's operations.

These Third-Party Services are provided for your convenience only.

Unless expressly stated otherwise, GivePower does not own, operate or control Third-Party Services and does not endorse or guarantee their content, products, services, policies, security practices or availability.

Your use of any Third-Party Service is governed by that provider's own terms, conditions and privacy policies and you are responsible for reviewing those documents before using the service.

7.2 Payment Processing

Online donations and certain other financial transactions conducted through the Site are processed by independent third-party payment service providers.

GivePower does not collect or store your complete payment card information. Payment information is processed directly by our payment service providers in accordance with their own privacy and security practices.

Although GivePower carefully selects reputable payment providers, we are not responsible for the acts, omissions, availability or security practices of those providers except to the extent required by applicable law.

7.3 External Links

The Site may contain links to external websites that are not owned or controlled by GivePower.

Those links are provided solely as a convenience to users and do not constitute:

  • an endorsement;
  • a sponsorship;
  • a recommendation; or
  • an approval

of any organization, product, service, opinion or content available through those websites.

GivePower is not responsible for the availability, accuracy, legality, security or content of external websites or any products or services offered through them.

If you choose to access an external website, you do so at your own risk.

7.4 Social Media Platforms

GivePower maintains accounts on various social media platforms.

Interactions with GivePower through third-party social media platforms, including comments, direct messages, content sharing, and participation in campaigns, are also subject to the terms and privacy policies of those platforms.

GivePower is not responsible for the operation, security, availability or content moderation practices of any social media platform.

7.5 Embedded Content

The Site may display embedded content provided by third parties, including videos, maps, social media feeds, publications or other interactive features.

Embedded content may collect information directly from your device, place cookies or otherwise process personal information in accordance with the third party's own privacy practices.

Your interaction with embedded content is governed by the applicable third party's terms and privacy policy.

7.6 Artificial Intelligence and Automated Services

From time to time, GivePower may use third-party artificial intelligence, automated translation, accessibility, search, customer support or other technology services to improve functionality of the Site.

Unless expressly stated otherwise, responses or content generated through such technologies are provided for general information purposes only and should not be relied upon as legal, financial, medical, engineering or other professional advice.

Because artificial intelligence technologies may produce inaccurate or incomplete information, users should independently verify information that is material to their decisions.

7.7 No Responsibility for Third-Party Conduct

To the fullest extent permitted by the applicable law, GivePower is not responsible for the actions, omissions, products, services, content, policies, security practices or availability of any Third-Party Service.

Nothing in this Section limits any rights or remedies you may have under mandatory consumer protection laws applicable in your jurisdiction.

8. Disclaimers

8.1 General Disclaimer

The Site and all information, materials, services, features and Content made available through the Site are provided on an "as is" and "as available" basis.

While GivePower strives to provide accurate, current and useful information, we do not represent or warrant that the Site or its Content will always be accurate, complete, reliable, current, secure, uninterrupted or free from errors or omissions.

Your use of the Site is at your own discretion and risk.

8.2 No Professional Advice

The information provided on the Site is intended solely for general information and educational purposes.

Nothing on the Site constitutes legal, tax, accounting, investment, engineering, medical, environmental, public health or other professional advice.

You should consult qualified professional advisors before relying on information obtained through the Site where professional advice is appropriate.

8.3 Project Information and Impact

Descriptions of GivePower's charitable programs, technologies, projects, environmental benefits, sustainability initiatives, community impacts, performance metrics, statistics, maps, photographs, videos and future plans are provided for general information only.

Although GivePower makes reasonable efforts to ensure such information is accurate, actual results, implementation schedules, environmental outcomes, project locations, beneficiary numbers and community impacts may differ from published information because of operational, technical, environmental, government, financial or other circumstances.

Nothing on the Site constitutes a guarantee regarding the completion, timing, scope, performance or outcome of any charitable project or initiative

8.4 Security

Although GivePower uses reasonable administrative, technical and organizational measures to help protect the Site and information submitted through it, no website or electronic transmission can be guaranteed to be completely secure.

Accordingly, GivePower cannot guarantee that unauthorized access, cyberattacks, data loss or other security incidents will never occur.

8.5 Disclaimer of Warranties

To the fullest extent permitted by applicable law, GivePower disclaims all warranties relating to the Site and its Content, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for particular purpose, title, non-infringement, accuracy, quiet enjoyment or uninterrupted availability.

Some jurisdictions do not permit the exclusion or limitation of certain warranties. Where those laws apply, some of the above disclaimers may not apply to you and nothing in these Terms limits any rights that cannot be excluded or restricted.

9. Limitation of Liability

9.1 Scope of Liability

To the fullest extent permitted by applicable law, GivePower, together with its directors, officers, employees, volunteers, agents, contractors, affiliates, successors and assigns (collectively, the "GivePower Parties"), shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive or similar damages arising out of or relating to:

  • your access to or use of the Site;
  • your inability to access or use the Site;
  • reliance on information made available through the Site;
  • any interruption, delay or unavailability of the Site;
  • unauthorized access to or alteration of your communications or information;
  • viruses, malware, cyberattacks or other harmful code transmitted through the Site by third parties; or
  • the acts or omissions of independent third-party service providers.

This limitation applies regardless of the legal theory on which the claim is based, including contract, tort (including negligence), statute, strict liability or otherwise, even if GivePower has been advised of the possibility of such damages.

9.2 Maximum Liability

To the fullest extent permitted by applicable law, the aggregate liability of the GivePower Parties for all claims arising out of or relating to the Site or these Terms shall not exceed the greater of:

  • the total amount of donations that you made directly to GivePower through the Site during the twelve (12) months immediately preceding the event giving rise to the claim; or
  • one hundred United States Dollars (US $100).

This limitation applies collectively to all claims arising from the same events or series of related events.

9.3 No Liability for Donations or Project Decisions

GivePower exercises reasonable care in administering charitable contributions and implementing its charitable programs.

However, to the fullest extent permitted by applicable law, GivePower shall not be liable for claims arising solely from:

  • changes in project scope or location;
  • project delays;
  • changes in technology or implementation methods;
  • change in beneficiary communities;
  • operational decisions regarding the use of unrestricted donations;
  • circumstances beyond GivePower's reasonable control affecting charitable activities.

Nothing in this Section limits GivePower's obligations under any separate written gift agreement executed by GivePower.

9.4 Events Beyond Our Reasonable Control

GivePower shall not be responsible for delays, interruptions or failures in performance resulting from events beyond its reasonable control.

9.5 Rights that Cannot be Limited

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful. If you are a consumer, these Terms do not affect any statutory rights that cannot be waived under the laws of your country or jurisdiction of residence. Where applicable law does not permit all or part of the limitations contained in this Section, those limitations shall apply only to the maximum extent permitted by law.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless GivePower and its officers, directors, employees, volunteers, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your misuse of the Site; (b) your breach of these Terms; or (c) your infringement of the rights of another person or entity. This Section does not apply to the extent a claim arises from GivePower's own negligence or wrongdoing, and it does not apply where prohibited by the mandatory law that applies to you.

11. Governing Law and Dispute Resolution

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. Subject to the following paragraph, any dispute arising from or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Austin, Texas and you consent to personal jurisdiction in those courts.

If you are a consumer who resides in the European Union, the United Kingdom, Colombia or any other jurisdiction whose law guarantees you the protection of mandatory local rules and/or the right to bring or defend proceedings in your local courts, nothing in these Terms is intended to deprive you of any non-waivable rights or remedies available to you under the laws of your country or jurisdiction of residence.

Before commencing formal legal proceedings, GivePower encourages users to contact us in good faith using the contact information provided in Section 18 so that we may attempt to resolve the matter informally.

Nothing in this Section limits GivePower's ability to seek temporary, preliminary or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, charitable assets or other legal rights.

12. Privacy and Data Protection

12.1 Privacy Policy

Your use of the Site is also governed by GivePower's Privacy Policy, which forms part of these Terms and is incorporated by reference.

The Privacy Policy explains how GivePower collects, uses, stores, protects, transfers and discloses personal information, the legal bases on which personal information is processed where applicable, how long personal information is retained and the rights available to individuals under applicable law.

We encourage you to review the Privacy Policy before providing personal information through the Site.

12.2 Cookies and Consent

We use cookies and similar technologies as described in our Privacy Policy and cookie notice. Non-essential cookies, including Analytics and Advertisement cookies, are turned off by default and are placed only with your prior, affirmative consent, which we request from all visitors through our cookie banner regardless of location. You can give or withdraw consent at any time through the banner or preferences tool. We do not treat your mere use of the Site as consent.

12.3 International Data Transfers

GivePower operates from the United States.

Accordingly, personal information collected through the Site may be transferred to, processed or stored in the United States or other countries in which GivePower or its service providers operate.

Where applicable law requires safeguards for international data transfers, GivePower will use an appropriate lawful transfer mechanism, which may include:

  • Standard Contractual Clauses;
  • adequacy decisions;
  • your consent where permitted;
  • contractual safeguards; or
  • another lawful mechanism recognized under applicable law.

12.4 Your Privacy Rights

Depending on where you live, you may have rights to access, correct, delete or restrict the processing of your personal data, to object to processing, to data portability and to lodge a complaint with your local data-protection authority. To exercise any of these rights, contact us using the details in Section 18. We will respond within the time required by the law that applies to you.

12.5 Data Security

GivePower maintains reasonable administrative, technical and organizational safeguards designed to protect personal information.

No internet transmission or electronic storage system can be guaranteed to be completely secure. Accordingly, GivePower cannot guarantee absolute security.

13. Accessibility

GivePower is committed to making its website accessible to as many people as reasonably possible, including individuals with disabilities.

We strive to design, develop and maintain the Site in a manner consistent with recognized accessibility standards, including the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA, where reasonably practicable.

Accessibility is an ongoing process, and we continually evaluate opportunities to improve the usability of the Site. If you experience difficulty accessing any portion of the Site or require information in an alternative format, please contact us at accessibility@givepower.org, or using the contact information provided in Section 18. We will make reasonable efforts to provide assistance and improve accessibility where appropriate. 14. Language

These Terms are published in English. Where we provide a translation, it is offered for your convenience; in the event of a conflict, the English version governs, except where the mandatory law that applies to you requires that a local-language version control. Certain notices required by law (for example, our Spanish-language privacy information for individuals in Colombia) are provided in the relevant language and govern locally as required.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GivePower regarding your access to and use of the Site and supersede all prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and GivePower, except to the extent mandatory law provides otherwise.

16. Severability

If any provision of these Terms is determined by a court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law so as to give effect as nearly as possible to its original intent.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect.

Where applicable law permits, the invalid or unenforceable provision shall be deemed modified only to the extent necessary to make it valid and enforceable while preserving its intended purpose.

Nothing in this Section limits any mandatory rights or protections available to you under applicable law.

17. Waiver

GivePower's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms shall be effective only if made expressly and in writing by an authorized representative of GivePower. A waiver of any breach or default shall not constitute a waiver of any subsequent or different breach or default.
